Zentrous Digital Service is a Nigerian business registered under business name number 9627965. By using this website, you agree to these website terms. A paid project is also governed by the quotation, proposal, invoice, statement of work or other written terms accepted for that project. If an agreed project document conflicts with these general service terms, the specific project document takes priority for that project.
2. Website use
You may use this website to learn about Zentrous, contact us and access our official payment link. You must not interfere with the website, attempt unauthorised access, introduce malicious code, impersonate another person, misuse our contact details or use the website for unlawful activity.
Website information is general and may change. A service description on this site is not a binding offer, fixed quotation or guarantee of availability.
3. Project agreements
Work begins only after the scope, deliverables, responsibilities, fees and relevant timing have been accepted in writing and any required initial payment has been received. Estimates or proposed schedules may change if requirements, feedback, access, dependencies or third-party services change.
4. Client responsibilities
Clients are responsible for providing accurate instructions, timely feedback, required access and content they have the right to use. Delays or incomplete information may affect delivery. The client is responsible for reviewing work at agreed stages and checking final business information before approval or publication.
5. Fees and payment
Fees, payment stages, taxes and due dates are set out in the relevant quotation, invoice or project agreement. Do not use the website’s Paystack link unless the payment relates to an amount confirmed by Zentrous.
Payments are processed by Paystack under its own terms. A transaction is not treated as completed until it is confirmed through the payment provider and matched to the relevant project. Refunds, reversals or disputed payments will be handled according to the agreed project terms, the circumstances of the transaction, applicable law and any payment-provider process.
6. Scope changes and revisions
Revisions included in a project will be described in its agreed scope. A request that changes approved work, adds functions or requires material rework may need a revised fee and schedule. Zentrous will seek written approval before beginning separately chargeable work.
7. Content, intellectual property and third parties
Each party keeps ownership of material it owned before the project. Ownership or licensing of final project deliverables will follow the specific project agreement and may depend on full payment. Tools, methods, reusable components, third-party software, fonts, stock assets and platform services may remain subject to their own licences.
Clients confirm they have permission to supply and use their text, logos, images, data and other materials. Zentrous is not responsible for a client’s lack of rights in supplied material.
8. Confidential information and data
Each party should use reasonable care with non-public information received for a project. Any special confidentiality, security, hosting, backup or data-processing requirement must be identified and agreed in the project scope.
9. Availability and liability
We aim to provide services with reasonable care and skill. Websites, hosting, internet connections and third-party platforms can experience interruptions or changes outside our control. Nothing in these terms excludes a right or responsibility that applicable law does not allow to be excluded.
To the extent permitted by law, responsibility for a specific project will be assessed under its agreed terms and the direct circumstances of the claim. Zentrous is not responsible for indirect loss caused by unauthorised changes, client-supplied material, unsupported third-party services or use outside the agreed purpose.
10. Suspension or ending a project
Either party may end work as allowed by the project agreement or applicable law. Zentrous may pause work for overdue payment, missing information, unsafe access, unlawful instructions or a material breach, after reasonable notice where appropriate. Fees for work already completed and committed third-party costs remain payable as agreed.
11. Governing law and disputes
These general terms are governed by the laws of the Federal Republic of Nigeria. The parties should first try in good faith to resolve a concern through direct written communication. Any further process remains subject to the applicable project agreement and law.
12. Changes to these terms
We may update the website terms when our services or legal requirements change. Changes do not rewrite an already accepted project agreement unless both parties agree or applicable law requires it.
